Shore Investigates Terms of Use

1. Acceptance of Terms and Updates

You represent that you are at least the age of majority in your place of residence and that you have the legal capacity to enter into these Terms. We may update these Terms from time to time. When we do, we will revise the Effective Date. Your continued use of the Services after any change means you accept the updated Terms.

2. Eligibility, Accounts, and Security

You may need an account to use some features. You must provide accurate information and keep it current. You are responsible for safeguarding your credentials, for activities under your account, and for promptly notifying us of any suspected unauthorized use. We reserve the right to refuse, suspend, or terminate accounts or access for any reason permitted by law.

3. Description of Services and Important Disclaimers

The Services provide informational and investigative resources, reports, and tools. Results may depend on third party sources and user inputs, and may be incomplete, delayed, or inaccurate. The Services do not replace your independent judgment. Unless we expressly agree in writing to provide consumer reports subject to specific laws, including the Fair Credit Reporting Act, we are not a consumer reporting agency and the Services are not consumer reports. You agree not to use the Services for eligibility determinations for employment, housing, credit, insurance, or any purpose that is regulated by law unless we expressly agree in writing.

4. Lawful Use and Prohibited Conduct

You will use the Services only for lawful purposes and in accordance with these Terms. You will not misuse the Services. Prohibited conduct includes, without limitation, attempting to gain unauthorized access, interfering with the operation or security of the Services, scraping or harvesting in violation of our instructions, reverse engineering except as permitted by law, using the Services to stalk, harass, discriminate, or to infringe intellectual property, and using the Services in any manner that violates applicable laws or regulations.

5. User Content and Feedback

You may submit content, requests, data, and feedback ("User Content"). You grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content to provide and improve the Services and to operate our business. You represent that you have all rights necessary to grant this license and that your User Content does not violate law or third party rights. We may remove User Content that we believe violates these Terms. We own all feedback you provide, and you assign to us all right, title, and interest in such feedback without further compensation.

6. Intellectual Property

The Services, including text, graphics, software, and other materials, are owned by Shore Investigates or our licensors and are protected by intellectual property laws. You receive a limited, revocable, non-transferable license to access and use the Services for your internal business purposes and for personal use. All rights not expressly granted are reserved.

7. Paid Services, Billing, and Refunds

If you purchase paid features, you authorize us and our payment processors to charge the payment method you provide for all fees, taxes, and charges. Subscriptions renew automatically at the then-current rates unless you cancel before the renewal date. You may cancel at any time; cancellations take effect at the end of the current term. Fees are non-refundable except where required by law or where we state otherwise in writing. We may change prices with notice, and any change will apply to the next billing cycle.

8. Third Party Services and Links

The Services may include links or integrations with third party services. We do not control and are not responsible for those services. Your use of third party services is subject to their terms and privacy policies.

9. Software and Mobile Applications

If you download or use our software or apps, we grant you a limited, non-exclusive, non-transferable, revocable license to use the software solely to access the Services. You agree to install updates that we make available. Your use of apps downloaded from app stores may be subject to additional terms required by those stores.

10. Communications and Electronic Notices

By providing contact information, you consent to receive administrative communications. If you opt in to receive marketing emails or messages, you can opt out at any time by using the unsubscribe mechanism provided in those communications.

11. Disclaimers of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that the results will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by law, Shore Investigates and our affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use, arising out of or relating to the Services or these Terms, even if we have been advised of the possibility of such damages. Our total liability for any claim will not exceed the greater of the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim or USD $100. In jurisdictions that do not allow certain limitations, our liability will be limited to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Shore Investigates and our affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use or misuse of the Services, your violation of these Terms or the Privacy Policy, or your violation of law or third party rights. We may, in our discretion, assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.

14. Dispute Resolution, Governing Law, and Venue

These Terms are governed by the laws of New Jersey, United States, without regard to conflict of laws principles. Except where prohibited, you agree to resolve disputes with us through binding individual arbitration, not in court, and you waive any right to participate in a class action or class arbitration. You may opt out of arbitration by emailing privacy@shoreinvestigates.com within thirty days of first accepting these Terms and stating your wish to opt out, your name, and your account email. Either party may bring an individual action in small claims court that has jurisdiction, and either party may seek injunctive relief for misuse, infringement, or unauthorized access or disclosure in state or federal courts located in New Jersey, and you consent to jurisdiction and venue in those courts.

15. Termination and Suspension

We may suspend or terminate your access to the Services at any time for any reason permitted by law, including if we believe you have violated these Terms or the law. You may stop using the Services at any time. Upon termination, sections that by their nature should survive will survive, including ownership provisions, warranty disclaimers, limitations of liability, indemnity, and dispute resolution.

16. Changes to the Services and to these Terms

We may change or discontinue the Services, in whole or in part, at any time. We may modify these Terms as described in Section 1. If you do not agree to the changes, you must stop using the Services.

17. Export and Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to embargo or sanctions and that you are not on any restricted or denied party list. You agree to comply with all applicable export control and sanctions laws and regulations.

18. Force Majeure

We will not be liable for any delay or failure in performance caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, failures of suppliers or carriers, or failures of the internet or telecommunications.

19. Notices

We may provide notices to you by email, by posting on the Services, or by other reasonable means. You will send legal notices to privacy@shoreinvestigates.com.

20. Assignment

You may not assign or transfer these Terms or your rights or obligations without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

22. No Third Party Beneficiaries

These Terms do not create any third party beneficiary rights.

23. Entire Agreement

These Terms, together with the Privacy Policy, any order forms, and any supplemental terms, are the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous understandings.
